TERMS AND CONDITIONS OF SALE APPLYING TO PRODUCTS SOLD BY MARYLAND METRICS

ACCEPTANCE OF ANY PRODUCTS DELIVERED HEREUNDER SHALL CONSTITUTE BUYERS AGREEMENT TO SAID TERMS AND CONDITIONS. NO CONDITIONS STATED BY BUYER IN ITS OFFER OR ACCEPTANCE SHALL BE BINDING ON MARYLAND METRICS IF IN CONFLICT WITH, INCONSISTENT WITH, OR IN ADDITION TO MARYLAND METRICS TERMS AND CONDITIONS.

TERMS: COMMERClAL, INDUSTRlAL AND GOVERNMENT ACCOUNTS - New accounts receive regular terms, 30 day's net, whenever satisfactory credit rating is available and has been verified; otherwise, C.O.D. shipments will be made until credit is established. A 1 1/2% per month service charge will be added on invoices not paid when due. Visa, Mastercard, American Express and Discover are also accepted.

TERMS: PRIVATE INDIVIDUALS - Use check, money order, Visa, Mastercard, American Express or Discover. For C.O.D. orders; a 50% deposit is required.

MINIMUM PURCHASES -- $10.00 minimum order applies to open account, charge card and C.O.D. purchases. (Some product lines will have different minimum orders)

WILL CALL -- MINIMUM PURCHASES -- $1.50 on Will Call, C.O.D. purchases that have been ordered by phone, mail, email, or fax PRIOR to pick up. Items other than those on our posted 'popular items list' are subject to a $5.00 line Item minimum. $10.00 minimum order applies to all open account and charge card purchases.

CLAIMS - All claims for shortages, damages or defects must be made within 5 days of receipt of goods. All claims must include our invoice or packing list number, and customer purchase order number. For UPS damaged shipments: notify your local UPS office; then advise us so that a replacement shipment may be made. For truck shipments: shippers are not responsible for goods damaged or lost by motor freight carriers. If your shipment is damaged or short, have it noted by the carrier on the delivery receipt. Without this notation, you accept goods at your own risk.

RETURNS - Unauthorized returns will not be accepted. All returns must have our PRIOR APPROVAL, a Return Authorization Number, and a copy of our invoice or packing list. Returned goods that are normally stock items, and in normal on-hand quantities; and are not being returned due to our error are subject to a 15% restocking charge with a $5.00 minimum charge. Returned goods must be returned with their shipping charges prepaid. Goods that have been altered to customer specifications; or are not normally stock items; or not in normal on-hand quantities may be subject to a larger restocking charge, or may not be eligible for return. No goods are eligible for return authorization numbers later than 30 days after receipt by customer.

SPECIAL ORDERS - Special orders must be confirmed in writing, cannot be canceled without our written consent; are payable in advance and are not eligible for return. A 10% plus or minus fulfillment quantity will apply to special orders.

SALES TAX -- 6% Maryland state sales tax will be added to invoices of customers with Maryland shipping addresses; unless we have a valid Maryland tax exemption certificate on file; or it is indicated as a tax exempt sale on the customer purchase order. C.O.D. or Credit card orders for Maryland addresses, or for customer pick up, that are for less than $200.00**, are not eligible for the Maryland sales tax exemption. **Unless delivered by Maryland Metrics.

PRICE CHANGES - All prices are subject to change without notice. Should a price increase in excess of 15% of the quoted price occur, then we will ask for your approval before shipping. Invoice prices will prevail.

SHIPPING - Shipping will be via UPS or Parcel Post where the weight or size of the shipment allows. Motor freight will be used as an appropriate alternative. Other shipping services such as air freight, air UPS, courier, etc. are also available. Back orders will automatically be created for items out of stock; unless specifically authorized by the customer to cancel. For shipments outside the U.S.A.; full shipping charges, insurance, and documentation will be charged. All shipments are F.O.B. our main warehouse; Baltimore, Maryland unless otherwise specified. All shipments will be insured, and the insurance charges added to the shipping charges.

DELIVERY - We will not be liable for any additional charges or legal action for late deliveries. Delivery dates as promised are correct to the best of our knowledge at the time of order acceptance.

TELEPHONE, FAX & EMAIL ORDERING SERVlCE - The phone order department is open from 8:30 A.M. to 5:30 P.M. Monday through Friday. Orders and inquiries may be faxed or emailed at anytime.

WILL CALL - The will call department is open for customer service from 10 A.M. to 5:30 P.M. Monday through Friday.

CERTIFICATES OF COMPLIANCE - Certificates of compliance may be provided at no charge; provided that notice and acceptance of their need, and of their availability is given at the time of quotation and also at the time of ordering. Requests for certificates after shipment has been made may not be possible due to the loss of traceabilty. Full certifications (chemicals & physicals) are subject to charges as quoted.

LIMITED WARRANTY: All materials are fully warranted against defects in material or workmanship for 90 days from the date of the receipt of materials. All warranties, express, implied, statutory or otherwise, including warranties to merchantability, and as to the fitness of the goods for particular purpose, and any warranty implied by custom or usage, are hereby expressly excluded. The company neither assumes nor authorizes any person nor agent to assume any liability nor to alter the terms of the foregoing disclaimer, other than a senior manager of the company who must do so in writing in order for it to be binding upon the company.

LIABILITY: The price of the defective item is the limit of our liability. All technical information & descriptions in our catalog, or in manufacturers' catalogs have been furnished for your convenience only. The technical information should be carefully examined by the customer or user as to the suitability of the goods before their use. We do not warrant or represent that the merchandise complies with the provisions of any law, particularly including the Walsh-Healey Public Contracts Act, and the Occupational Safety & Health Act of 1970, and regulations promulgated thereunder, unless the manufacturer so warrants. Dimensions may be changed without notice; at the discretion of the manufacturer. Clerical and other inadvertent errors are subject to correction.
